Ensuring Independence, Diversity, and Expertise in the Board of Directors
Sebang Group’s board of directors serves as the highest decision-making body, overseeing corporate management goals, strategy formulation, and business supervision, ensuring a board-centered management approach.
To strengthen independence and expertise, Sebang Group increases the proportion of outside directors, supports them through the Ethical Management Team and Compliance Team, and operates an Audit Committee composed entirely of outside directors.
The board consists of directors with diverse expertise in corporate management, risk management, and sustainable management. It holds regular and ad-hoc meetings to ensure efficient decision-making. Additionally, Sebang Group conducts executive workshops and briefing sessions to enhance understanding of global trends and key issues.
Shareholder management
Sebang Group enhances shareholder and investor trust by disclosing quarterly performance reports and an annual sustainability report on our official website and through the Financial Supervisory Service's electronic disclosure system (DART). Any significant management decisions or issues that may impact investment decisions are promptly disclosed to the market. When convening a general shareholders' meeting, we announce it via the electronic disclosure system at least four weeks in advance. Additionally, we strengthen communication with shareholders by publicly providing the contact details and email address of our Investor Relations (IR) department on our website. Through the Financial Supervisory Service and the electronic disclosure system, we ensure that corporate information is shared with all shareholders. Any major business changes are disclosed immediately, and we actively gather shareholders’ feedback.
Ethical Management
Sebang Group has restructured its organization and systems to strengthen ethical and compliance management. We regularly provide ethics training to employees to raise awareness and foster a strong ethical culture throughout the company. Additionally, we have reinforced our internal control system to prevent unethical behavior, protect human and material resources, and implemented a fair-trade compliance program to gain stakeholders' trust and drive sustainable growth. To guide employees in ethical decision-making and proper conduct, we have established an Ethical Charter and Code of Ethics. Our Ethical Management Team operates at the group level, overseeing anti-corruption training and internal audits. All employees are required to sign a Compliance Pledge and Fair-Trade Compliance Pledge annually, and every two years, they also sign an Ethical Management Commitment and Anti-Graft Act Compliance Pledge to reaffirm their dedication. Furthermore, we mandate ethical management commitments from our business partners to foster a broader ethical corporate culture.

Sebang Group has introduced the Fair Trade Compliance Program (CP) to strengthen compliance management and promote a fair trade culture. To enhance this initiative, the company expanded its internal control team into a dedicated Compliance Team. All affiliates strictly adhere to relevant laws and CP standards, reinforcing compliance management and stakeholder trust. Sebang Group is committed to strengthening and internalizing CP operations based on a structured CP implementation plan, ensuring voluntary adherence to regulations and standards. Additionally, we strive to promote a fair trade culture both internally and externally.

To strengthen compliance management, we have expanded our internal oversight team by reorganizing it from the Internal Control Team into the Compliance Team. All subsidiaries strictly adhere to legal and CP regulations, striving to foster transparent ethical management and trust. Moving forward, we will continue to internalize and enhance CP operations based on concrete action plans to establish a robust culture of voluntary compliance.

Fair Trade Compliance Program

Additionally, Sebang Group operates separate Cyber Whistleblowing Systems for each business sector to ensure compliance with the CP, establish fair trade practices, and enforce strict execution. To eliminate any activities that hinder fair trade, we guarantee strict protection and anonymity for whistleblowers throughout the entire reporting and processing process, ensuring that reports can be submitted objectively and accurately without concern.
